1. Acceptance of Terms
1.1. These Terms and Conditions of Use ("Terms") constitute a legally binding agreement between you and SimplaTask ("SimplaTask," "we," "us," or "our") governing your access to and use of the SimplaTask platform, including all related websites, applications, APIs, and services (collectively, the "Service").
1.2. By accessing, registering for, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.
1.3. If you do not agree to these Terms, you must not access or use the Service.
1.4. Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy before using the Service.
1.5. These Terms apply to all users of the Service, including without limitation Merchants, Customers, Members, and Mobile App Users.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Account" means a registered user account on the SimplaTask platform, whether a Merchant Account or a Customer/Member Account.
- "ACH" means Automated Clearing House, a network used for electronic bank-to-bank transfers in the United States.
- "Booking" means a scheduled appointment or service reservation made through the SimplaTask booking system.
- "Chargeback" means a reversal of a credit card or debit card transaction initiated by the cardholder's issuing bank.
- "Customer" or "Member" means an end user who makes payments, purchases goods or services, schedules bookings, or otherwise transacts with a Merchant through the Service.
- "Merchant" means a business or individual that uses the Service to accept payments, manage invoices, operate an online store, manage bookings, or otherwise conduct business through the platform.
- "Merchant Dashboard" means the web-based administrative interface accessible to Merchants for managing their account, transactions, products, services, and customers.
- "Mobile Application" or "App" means the SimplaTask mobile application available for iOS and Android devices, used primarily for point-of-sale terminal operations.
- "Payment Gateway" means a third-party payment processing service integrated with SimplaTask, including but not limited to NMI, Payliance, and PayPal.
- "Payment Link" means a unique, shareable URL generated through the Service that directs a Customer to a payment page for a specific transaction.
- "Payment Terminal" means a physical card-reading device connected to the Mobile Application via Bluetooth for card-present transactions.
- "Platform" means the SimplaTask software, technology, and infrastructure, including the backend API, Merchant Dashboard, Customer Portal, and Mobile Application.
- "Service" means all products, features, functionalities, websites, applications, and APIs provided by SimplaTask.
- "Subscription" means a recurring billing arrangement in which a Customer is charged on a periodic basis for goods, services, or platform access.
- "Transaction" means any payment, purchase, refund, void, or other financial exchange processed through the Service.
- "Transaction Fee" means the fee charged by SimplaTask and/or a Payment Gateway for processing a Transaction.
- "Virtual Terminal" means the feature within the Service that allows Merchants to manually enter payment card information for card-not-present transactions.
3. Eligibility
3.1. Age Requirement. You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use the Service. By using the Service, you represent and warrant that you meet this age requirement.
3.2. Legal Capacity. You must have the legal capacity to enter into a binding contract. If you are using the Service on behalf of a legal entity, you represent and warrant that you are authorized to accept these Terms on behalf of that entity.
3.3. Geographic Eligibility. The Service is currently available for businesses and individuals operating within the United States. You represent and warrant that your primary business operations and use of the Service are based in the United States.
3.4. Legal Business Operation. If you are a Merchant, you represent and warrant that your business is legally formed, registered, and in good standing in the jurisdiction(s) in which it operates, and that you possess all necessary licenses, permits, and authorizations required to conduct your business and accept payments.
3.5. Prohibited Persons. You may not use the Service if you are (a) located in, a national or resident of, or under the control of any country subject to United States sanctions or embargoes; (b) identified on any United States government restricted persons list; or (c) otherwise prohibited from engaging in transactions under applicable law.
4. Account Registration and Security
4.1. Account Creation. To access certain features of the Service, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
4.2. Account Types and Roles. Merchant Accounts may include multiple user roles, including but not limited to Administrator, Manager, and User roles. Account Administrators are responsible for managing role assignments and permissions within their organization.
4.3. Multi-location Accounts. Merchants operating multiple business locations may manage all locations under a single Account. You are responsible for the accuracy of information associated with each location and for all activity conducted under each location.
4.4. Account Security. You are solely responsible for maintaining the confidentiality and security of your Account credentials. You agree to:
- Create a strong, unique password for your Account;
- Not share your Account credentials with any unauthorized person;
- Enable two-factor authentication (2FA) when available and recommended;
- Immediately notify SimplaTask of any unauthorized access to or use of your Account; and
- Log out of your Account at the end of each session, particularly on shared or public devices.
4.5. Responsibility for Account Activity. You are responsible for all activity that occurs under your Account, whether or not you authorized such activity. SimplaTask shall not be liable for any loss or damage arising from your failure to maintain the security of your Account.
4.6. Account Verification. We may require additional verification of your identity or business at any time. Failure to provide requested verification may result in suspension or limitation of your Account.
5. Description of Services
5.1. Overview. SimplaTask is a payment processing and business management platform that provides Merchants with tools for accepting payments, managing customers, selling goods and services, scheduling bookings, and analyzing business performance. The Service includes:
- Invoicing: Create, send, and track standard, recurring, and subscription-based invoices with configurable payment terms, due dates, late fees, and automatic reminders.
- Payment Processing: Accept credit/debit cards via NMI, ACH/bank account payments via Payliance, PayPal payments, keyed card entry through the Virtual Terminal, and card-present payments via Bluetooth-connected Payment Terminals.
- E-commerce Store: Create and manage an online store, including product catalogs, inventory management, order processing, and shipping management.
- Booking System: Manage service appointments, assign staff to bookings, send appointment reminders, and define availability windows.
- Payment Links: Generate shareable payment links and QR codes for specific transactions.
- Event Ticketing: Sell event tickets, track attendees, manage event check-in, and handle ticket-related communications.
- Virtual Terminal: Process card-not-present and card-present transactions.
- Subscription and Recurring Billing: Automate recurring payment schedules and subscription management.
- Reporting and Analytics: Access transaction reports, revenue analytics, and business performance metrics.
- Customer Management: Manage customer profiles, store payment methods on file via tokenization, and facilitate customer communications.
- Delivery and Routing: Address-based delivery optimization and routing tools for delivery-oriented merchants.
6. Payment Processing Terms
6.1. Payment Gateway Relationships. SimplaTask acts as a technology platform that facilitates payment processing through third-party Payment Gateways. SimplaTask is not a bank, money transmitter, or payment processor. All payment processing is performed by the applicable Payment Gateway, and all payments are subject to the terms and conditions of that Payment Gateway.
6.2. Processing Times and Settlement. Typical settlement periods are: credit and debit card transactions: one (1) to three (3) business days; ACH transactions: three (3) to five (5) business days; PayPal transactions: subject to PayPal's settlement terms. SimplaTask does not guarantee specific settlement times and shall not be liable for delays caused by Payment Gateways, banks, or other financial institutions.
6.3. Transaction Fees and Service Fees. Merchants are subject to Transaction Fees for each payment processed through the Service. Fee rates are established at the time of Account creation and are subject to change with notice as described in Section 21.
6.4. Late Fees. Merchants may configure late fees on overdue invoices. Merchants are solely responsible for ensuring that any late fees comply with applicable federal, state, and local laws.
6.5. SaaS Subscription Fees. Access to the SimplaTask platform is provided under subscription tiers. Failure to pay subscription fees may result in suspension or downgrade of your Account.
6.6. Refunds and Voids. Merchants may issue refunds or void transactions through the Service, subject to the policies and timeframes of the applicable Payment Gateway. Transaction Fees may or may not be refunded upon a refund or void, depending on the applicable Payment Gateway's policies.
6.7. Chargebacks and Disputes. In the event of a Chargeback, the Merchant is responsible for responding to and resolving Chargeback disputes in a timely manner. Excessive Chargebacks may result in increased fees, holds on funds, or Account suspension or termination. SimplaTask reserves the right to debit Chargeback amounts and associated fees from the Merchant's pending settlements or connected bank account.
6.8. Currency. The Service primarily supports transactions in United States Dollars (USD). SimplaTask is not responsible for currency conversion costs or exchange rate variations.
6.9. PCI DSS Compliance. SimplaTask facilitates PCI DSS compliance through the use of third-party Payment Gateways that handle the storage, processing, and transmission of cardholder data. SimplaTask does not directly store raw credit card numbers.
6.10. Reserves and Holds. SimplaTask and/or the applicable Payment Gateway may establish reserves or place holds on a Merchant's funds as deemed necessary to mitigate risk.
7. Merchant Obligations
7.1. Legal Compliance. Merchants shall operate their businesses in compliance with all applicable federal, state, and local laws, regulations, and ordinances.
7.2. Prohibited Goods and Services. Merchants shall not use the Service to sell, distribute, or facilitate the sale of: illegal goods, substances, or services; counterfeit or stolen goods; items that infringe upon third-party intellectual property rights; goods or services subject to government sanctions or export restrictions; controlled substances (except as permitted by law and approved by SimplaTask); weapons, ammunition, or explosives (except as permitted by law and approved); pornographic or obscene material (unless specifically approved); pyramid schemes or other deceptive business practices; any goods or services prohibited by the applicable Payment Gateway's acceptable use policies; or any other goods or services that SimplaTask determines to be harmful, fraudulent, or objectionable.
7.3. Customer Data Protection. Merchants are responsible for the collection, use, storage, and protection of Customer data obtained through the Service in accordance with applicable privacy laws and regulations. Merchants shall maintain a clear and accessible privacy policy that complies with applicable law, collect only necessary Customer data, not sell or share Customer data in violation of applicable law, implement appropriate security measures, and promptly notify SimplaTask and affected Customers of any data breach.
7.4. Tax Compliance. Merchants are solely responsible for determining, collecting, reporting, and remitting all applicable taxes. SimplaTask may provide tools to assist with tax calculation, but such tools are provided for convenience only and do not constitute tax advice.
7.5. Accurate Descriptions. Merchants shall provide accurate, complete, and not misleading descriptions of all products, services, prices, and terms offered through the Service.
7.6. Customer Communication. Merchants shall respond to Customer inquiries, complaints, and disputes in a timely and professional manner and shall honor their published return, refund, cancellation, and exchange policies.
7.7. Recordkeeping. Merchants shall maintain accurate records of all Transactions processed through the Service for a minimum period required by applicable law, card network rules, and Payment Gateway terms.
8. Customer and Member Terms
8.1. Payment Authorization. By submitting a payment through the Service, you authorize the applicable Merchant and Payment Gateway to charge the specified amount to your selected payment method. You represent and warrant that you are the authorized user of the payment method and have sufficient funds or credit to complete the Transaction.
8.2. Accurate Payment Information. You agree to provide accurate and complete payment information when making a Transaction. SimplaTask is not liable for failed transactions resulting from inaccurate or expired payment information.
8.3. Stored Payment Methods. If you choose to store a payment method on your Account for future use, your payment credentials are tokenized and stored securely by the applicable Payment Gateway. SimplaTask does not store raw payment card numbers.
8.4. Recurring Payments. By enrolling in a Subscription or recurring payment arrangement with a Merchant, you authorize the Merchant to charge your selected payment method on a recurring basis at the intervals and amounts specified. You may cancel recurring payments at any time by contacting the Merchant or managing your Subscription through your Account, subject to the Merchant's cancellation terms.
8.5. Dispute Resolution with Merchants. Disputes regarding the quality, delivery, or nature of goods or services purchased through the Service are between you and the Merchant. SimplaTask is not a party to the transaction between you and the Merchant and is not responsible for resolving such disputes.
8.6. Customer Account. When you create a Customer or Member Account, you are responsible for maintaining the accuracy of your profile information and the security of your Account credentials.
9. Mobile Application Terms
9.1. License. Subject to your compliance with these Terms, SimplaTask grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Mobile Application on a compatible mobile device that you own or control.
9.2. Device Requirements. The Mobile Application requires a compatible iOS or Android device with sufficient storage, processing capability, and an active internet connection. Bluetooth capability is required for Payment Terminal functionality.
9.3. Bluetooth Payment Terminal Usage. When using a Bluetooth-connected Payment Terminal through the Mobile Application, you are responsible for ensuring the Payment Terminal is properly paired, charged, and maintained; using the Terminal only in accordance with the manufacturer's instructions; and not modifying, tampering with, or reverse engineering the Payment Terminal.
9.4. App Store Terms. The Mobile Application is distributed through third-party application stores (e.g., Apple App Store, Google Play Store). Your use of the Mobile Application is subject to the applicable app store's terms of service in addition to these Terms.
9.5. Updates. SimplaTask may release updates to the Mobile Application from time to time. You are encouraged to install all updates promptly. SimplaTask may discontinue support for older versions at any time.
9.6. Mobile Data. Use of the Mobile Application may consume mobile data. You are responsible for any data charges incurred through your mobile carrier in connection with your use of the Mobile Application.
10. E-commerce and Store Terms
10.1. Product Listings. Merchants are solely responsible for the accuracy and completeness of all product listings published through the Service, including product descriptions, images, pricing, availability, and any other material information. SimplaTask does not review, verify, or endorse any product listings.
10.2. Inventory Management. The Service provides tools for inventory tracking and management. Merchants are responsible for maintaining accurate inventory levels. SimplaTask is not liable for overselling, stockouts, or inventory discrepancies.
10.3. Order Fulfillment. Merchants are solely responsible for the timely and accurate fulfillment of all orders placed through the Service, including picking, packing, shipping, and delivery.
10.4. Shipping and Delivery. Merchants are responsible for setting accurate shipping rates and delivery timeframes, selecting appropriate shipping carriers and methods, providing tracking information to Customers when available, ensuring proper packaging to prevent damage during transit, and handling lost, damaged, or delayed shipments with Customers and carriers.
10.5. Returns and Exchanges. Return and exchange policies are defined by each Merchant. SimplaTask is not responsible for enforcing or adjudicating Merchant return or exchange policies.
10.6. Product Compliance. Merchants are responsible for ensuring that all products offered through the Service comply with applicable laws and regulations, including product safety standards, labeling requirements, and import/export restrictions.
11. Booking System Terms
11.1. Appointment Scheduling. The Service provides a booking system that allows Customers to schedule appointments and services with Merchants. Merchants are responsible for managing their availability, staff assignments, and service offerings within the booking system.
11.2. Booking Confirmation. A booking is confirmed when the Customer receives a confirmation through the Service. Merchants are responsible for honoring confirmed bookings and providing the scheduled service.
11.3. Cancellation Policies. Cancellation policies for bookings are defined by each Merchant. Merchants shall clearly communicate their cancellation policies, including any applicable fees or penalties, prior to booking confirmation. SimplaTask is not responsible for Merchant cancellation policies or their enforcement.
11.4. No-show Policies. Merchants may define and enforce no-show policies, including applicable fees, through the Service. Merchants are responsible for ensuring that no-show policies are clearly communicated to Customers and comply with applicable law.
11.5. Reminders. The Service may send appointment reminders to Customers via email, SMS, or push notification. SimplaTask does not guarantee delivery of reminders and is not responsible for missed appointments resulting from undelivered or overlooked reminders.
11.6. Staff Assignment. Merchants are responsible for managing staff assignments and ensuring that qualified personnel are available to provide scheduled services.
12. Payment Links and Ticketing Terms
12.1. Payment Links. Merchants may generate Payment Links to collect payments from Customers. Payment Links may include custom branding, specific amounts, and descriptions. Merchants are responsible for the accuracy of information included in Payment Links.
12.2. Link Expiration. Payment Links may be configured with expiration dates. Expired Payment Links will no longer accept payments. SimplaTask is not responsible for Transactions that are not completed before a Payment Link expires.
12.3. QR Codes. The Service may generate QR codes associated with Payment Links. Merchants are responsible for the proper distribution and use of QR codes.
12.4. Signed URLs. Payment Links and checkout pages use signed URLs for security. Attempting to tamper with, modify, or forge signed URLs is a violation of these Terms and may result in Account termination and legal action.
12.5. Event Ticketing. Merchants may use the Service to sell event tickets, track attendees, and manage event check-in. Merchants are responsible for providing accurate event details, honoring all ticket purchases, complying with applicable laws governing event ticketing, and managing event cancellations, postponements, and refunds in accordance with their published policies and applicable law.
12.6. Ticket Validity. Tickets purchased through the Service are valid only for the event and date specified at the time of purchase, unless otherwise stated by the Merchant.
12.7. Attendee Data. Merchants are responsible for handling attendee data in accordance with their privacy policy and applicable law.
13. Intellectual Property
13.1. SimplaTask Intellectual Property. The Service, including all software, code, algorithms, designs, user interfaces, graphics, logos, trademarks, trade names, documentation, and other materials comprising or related to the Service (collectively, "SimplaTask IP"), are owned by or licensed to SimplaTask and are protected by United States and international intellectual property laws.
13.2. License to Use the Service. Subject to your compliance with these Terms, SimplaTask grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes (for Merchants) or personal use (for Customers).
13.3. Merchant Content. Merchants retain ownership of all content they upload, submit, or publish through the Service. By uploading Merchant Content, you grant SimplaTask a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute such content solely in connection with the operation and provision of the Service.
13.4. Feedback. If you provide suggestions, ideas, or feedback regarding the Service ("Feedback"), you grant SimplaTask an unrestricted, irrevocable, perpetual, royalty-free license to use such Feedback for any purpose without compensation or attribution.
13.5. Prohibited Uses. You shall not copy, modify, distribute, sell, or lease any part of the Service or SimplaTask IP; reverse engineer, decompile, or disassemble the Service; remove, alter, or obscure any proprietary notices; use SimplaTask's name, logo, or trademarks without prior written permission; create derivative works based on the Service; or use the Service to develop a competing product or service.
14. Data and Privacy
14.1. Privacy Policy. Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.
14.2. Data Processing. SimplaTask processes personal data as necessary to provide the Service. This includes Transaction data, Account information, usage data, and other information as described in the Privacy Policy.
14.3. Data Security. SimplaTask implements commercially reasonable security measures to protect data transmitted through and stored on the Service, including HTTPS encryption in production, token-based authentication, role-based access control, and rate limiting on sensitive endpoints. However, no method of electronic transmission or storage is completely secure, and SimplaTask cannot guarantee absolute security.
14.4. Merchant Data Responsibilities. Merchants act as independent data controllers with respect to Customer data they collect through the Service. Merchants are responsible for complying with all applicable data protection laws.
14.5. Data Retention. SimplaTask retains data in accordance with the retention periods described in the Privacy Policy and as required by applicable law.
15. Prohibited Activities
You agree not to engage in any of the following prohibited activities in connection with the Service:
- Fraud and Deception: Submitting false, misleading, or fraudulent information; conducting fraudulent Transactions; or impersonating any person or entity.
- Money Laundering: Using the Service for money laundering, terrorist financing, or any other financial crime.
- Illegal Transactions: Processing Transactions for illegal goods, services, or activities.
- System Abuse: Interfering with, disrupting, or placing an undue burden on the Service or its infrastructure, including denial-of-service attacks, distribution of malware, or exploitation of vulnerabilities.
- Unauthorized Access: Attempting to gain unauthorized access to any part of the Service, other users' Accounts, or any systems or networks connected to the Service.
- Hacking and Exploitation: Probing, scanning, or testing the vulnerability of the Service or any connected system without authorization; circumventing or attempting to circumvent any security measures.
- Rate Limit Circumvention: Attempting to circumvent, bypass, or exceed rate limits imposed by the Service (currently six requests per minute on sensitive endpoints), including through the use of multiple Accounts, IP address rotation, or automated tools.
- Scraping and Data Harvesting: Using automated tools, bots, scrapers, or other means to collect data from the Service without written authorization.
- Spam and Unsolicited Communications: Using the Service to send unsolicited commercial messages, spam, or other communications in violation of applicable law.
- Intellectual Property Infringement: Using the Service to infringe upon the intellectual property rights of SimplaTask or any third party.
- Any Other Misuse: Engaging in any other activity that SimplaTask determines, in its sole discretion, to be harmful to the Service, its users, or third parties.
16. Service Availability and Limitations
16.1. No Uptime Guarantee. While SimplaTask strives to provide reliable and continuous access to the Service, we do not guarantee that the Service will be available at all times or without interruption. The Service is provided on an "as available" basis.
16.2. Scheduled Maintenance. SimplaTask may perform scheduled maintenance on the Service, during which the Service may be temporarily unavailable. We will make reasonable efforts to provide advance notice of scheduled maintenance.
16.3. Unscheduled Outages. The Service may experience unscheduled outages due to technical issues, infrastructure failures, cyberattacks, or other events beyond our reasonable control. SimplaTask shall not be liable for any losses or damages resulting from such outages.
16.4. Third-Party Dependencies. The Service relies on third-party services, including Payment Gateways, cloud infrastructure providers, email and SMS delivery services, and other vendors. SimplaTask is not responsible for outages, errors, or changes in functionality of third-party services that affect the availability or performance of the Service.
16.5. Feature Changes. SimplaTask reserves the right to modify, suspend, or discontinue any feature or component of the Service at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes.
16.6. Force Majeure. SimplaTask shall not be liable for any failure or delay in the performance of its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics or pandemics, government actions, power outages, internet or telecommunications failures, cyberattacks, labor disputes, or supply chain disruptions.
17. Limitation of Liability
17.4. Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, the limitations in this Section 17 shall apply to the fullest extent permitted by applicable law.
18. Indemnification
18.1. Merchant Indemnification. If you are a Merchant, you agree to indemnify, defend, and hold harmless SimplaTask, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your Merchant Content or products and services offered through the Service; your violation of these Terms; your violation of any applicable law, regulation, or third-party right; any Transaction between you and a Customer; any Chargeback, dispute, or claim initiated by a Customer; or your collection, use, or mishandling of Customer data.
18.2. Customer Indemnification. If you are a Customer, you agree to indemnify, defend, and hold harmless SimplaTask from and against any and all claims arising out of or related to: your use of the Service; your violation of these Terms; your violation of any applicable law or third-party right; or any fraudulent or unauthorized use of a payment method in connection with the Service.
18.3. Indemnification Process. SimplaTask shall provide prompt notice of any claim subject to indemnification and shall cooperate with the indemnifying party at the indemnifying party's expense. SimplaTask reserves the right to assume exclusive defense and control of any matter subject to indemnification.
19. Account Suspension and Termination
19.1. Grounds for Suspension. SimplaTask may suspend your Account or access to the Service, in whole or in part, immediately and without prior notice, if you violate or are suspected of violating these Terms; engage in or are suspected of engaging in fraudulent, illegal, or abusive activity; your Account is subject to excessive Chargebacks or disputes; or you fail to pay applicable fees or outstanding balances.
19.2. Termination by SimplaTask. SimplaTask may terminate your Account and these Terms at any time, for any reason or no reason, upon thirty (30) days' written notice to the email address associated with your Account. SimplaTask may terminate your Account immediately without notice in the case of a material breach of these Terms.
19.3. Termination by You. You may terminate your Account at any time by contacting SimplaTask support or through your Account settings, subject to the conditions that all outstanding Transactions must be settled, all pending Chargebacks and disputes must be resolved, all outstanding fees and balances owed to SimplaTask must be paid in full, and any active Subscriptions or recurring billing arrangements with your Customers must be properly transitioned or canceled.
19.4. Effect of Termination. Upon termination, your right to access and use the Service will immediately cease. SimplaTask may retain your data as required by applicable law, Payment Gateway terms, or for legitimate business purposes. Sections 13, 14, 17, 18, 20, and 22 shall survive termination.
20. Dispute Resolution
20.1. Governing Law. These Terms and any dispute arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.
20.2. Informal Resolution. Before initiating formal dispute resolution proceedings, you agree to first contact SimplaTask at hello@simplatask.com and attempt to resolve the dispute informally for a period of at least thirty (30) days.
20.3. Binding Arbitration. If the dispute cannot be resolved informally, you and SimplaTask agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules or, for claims under $75,000, its Consumer Arbitration Rules.
20.4. Arbitration Procedures. The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules, held in San Francisco, California (unless the parties agree otherwise), conducted in the English language, and subject to the Federal Arbitration Act. The arbitrator's decision shall be final and binding.
20.6. Small Claims Exception. Either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of the small claims court.
20.7. Opt-Out. You may opt out of the arbitration agreement by sending written notice to hello@simplatask.com within thirty (30) days of first accepting these Terms. Your notice must include your name, Account information, and a clear statement that you wish to opt out of arbitration.
21. Changes to Terms
21.1. Right to Modify. SimplaTask reserves the right to modify these Terms at any time. We will update the "Last Updated" date at the top of these Terms to reflect the date of the most recent changes.
21.2. Notification of Material Changes. For material changes to these Terms, SimplaTask will provide notice through one or more of the following methods: posting a prominent notice on the Service, sending an email to the address associated with your Account, or displaying an in-app notification. Material changes will take effect thirty (30) days after notice is provided, unless a longer period is specified or required by applicable law.
21.3. Continued Use. Your continued use of the Service after the effective date of any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your Account before the changes take effect.
22. Miscellaneous
22.1. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The invalidity of any provision shall not affect the validity of the remaining provisions.
22.2. Waiver. The failure of SimplaTask to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by SimplaTask.
22.3. Entire Agreement. These Terms, together with the Privacy Policy and any other agreements or policies referenced herein, constitute the entire agreement between you and SimplaTask with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements relating to such subject matter.
22.4. Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder without the prior written consent of SimplaTask. SimplaTask may assign or transfer these Terms without restriction and without notice, including in connection with a merger, acquisition, or sale of all or substantially all of its assets.
22.5. Independent Contractors. The relationship between SimplaTask and you is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
22.6. Electronic Agreement. By using the Service, you consent to receiving these Terms and all related communications electronically. You agree that all terms, conditions, agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
22.7. Export Compliance. You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the United States Department of Commerce and sanctions programs maintained by the United States Department of the Treasury's Office of Foreign Assets Control.
